Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 18, 2019, the Compensation Committee of the Board of Directors of Baudax Bio, Inc. (the “Company”) approved an increase in the annual base salary of Ryan D. Lake, the Company’s Chief Financial Officer and Treasurer, to $400,000 (from $347,200), effective January 1, 2020. Mr. Lake is a dual employee of Recro Pharma, Inc. (“Recro”) and the Company. Under the Transition Services Agreement by and between the Company and Recro dated as of November 20, 2019, the Company is reimbursed for a portion of the amount paid by the Company as compensation to Mr. Lake.
